TIXEL CREDITS – TERMS AND CONDITIONS

Part A – Master terms & conditions

The following terms and conditions apply to Tixel promotional credits described in these terms. Capitalised terms not defined below are defined in the applicable Campaign Schedule in Part B.

1. Promoter

(a) The Promoter is Tixel Pty Ltd ABN 88 625 710 581 ("Tixel", "we", "us", "our"). Tixel operates a digital ticket marketplace (the "Platform").

(b) All campaign administration, credit issuance, redemption administration, and processing of personal data under this Promotion are conducted by or on behalf of Tixel Pty Ltd. Any individual involved in administering the Promotion does so as a representative of Tixel Pty Ltd.

2. Campaign Overview and Definitions

(a) The Tixel Credits campaign consists of one or more promotional credit offers made available by Tixel from time to time. These offers fall into two categories: (i) Coupon Campaigns, being promotional credit offers Claimed via a claim link or coupon code, including sign-up credits, targeted campaign credits, customer service credits, refund-related credits, and replacement credits; and (ii) the Refer a Friend Promotion described in Schedule 8. Each offer is a separate and standalone Promotion governed by these terms and conditions set out in Part A (the "Master Terms") and the applicable schedule set out in Part B for that specific offer (the "Campaign Schedule") (together, the "Promotion"). Participation in one Promotion does not constitute participation in any other Promotion, and eligibility or redemption under one Promotion does not carry over to any other Promotion unless expressly stated in the relevant Campaign Schedule or on the relevant promotional landing page.

(b) "Tixel Credits" means promotional credits issued by Tixel that can be applied to eligible transactions on the Tixel platform in accordance with these terms and conditions.

(c) "Claim" means the act by which an eligible individual activates a promotional credit offer, by clicking the designated claim link for the relevant Promotion or by entering the applicable coupon code in their Tixel account, following which, subject to verification of eligibility at the time of Claim, the credit is issued to the participant's Tixel account. "Claimed" and "Claiming" have corresponding meanings. The date of Claim is the date of issue of the relevant credit.

(d) "Coupon Campaign" means a Promotion under which promotional credit is made available for Claim by eligible individuals, governed by the Master Terms and the Coupon Campaign Schedule (Schedules 1 to 7), with the campaign-specific variables stated on the relevant promotional landing page or in the relevant campaign communication.

(e) The specific dates, credit details, eligibility requirements, Claim and redemption mechanics, and expiry details for each Promotion are set out in the relevant Campaign Schedule, on the relevant promotional landing page, or in the relevant campaign communication.

(f) This Promotion is a promotional credit offer for use on Tixel and is not a prize draw, competition, lottery, or ticket sales agreement. Any Claim deadlines, redemption windows, and campaign deadlines are set out in the applicable Campaign Schedule or on the relevant promotional landing page.

3. Eligibility

(a) Participation is open to individuals who are resident in Australia and aged 18 years or over at the time they Claim or redeem the relevant Promotion. The eligibility criteria for each Coupon Campaign (for example, restriction to individuals who have not previously completed a purchase on the Platform) are stated on the relevant promotional landing page or in the relevant campaign communication, and are assessed at the time of Claim.

(b) Participants must hold or create a valid Tixel account in order to Claim, receive, and redeem promotional credit under a Promotion. Account creation is free of charge.

(c) Employees, officers, agents, and contractors of Tixel and its group companies, and members of their immediate families or households, are not eligible to participate in the Promotion unless expressly stated otherwise in the applicable Campaign Schedule.

(d) Tixel reserves the right to verify the eligibility of any participant and to refuse, withhold, cancel, or reverse promotional credit where a participant does not satisfy these eligibility requirements. Tixel may require any participant to provide documentary proof of age (such as a valid passport or photo driving licence), proof of Australian residence, and evidence reasonably required to verify that the relevant Claim or transaction qualifies for the Promotion. Failure to provide satisfactory proof within a reasonable timeframe specified by Tixel may result in disqualification from the Promotion and cancellation of any associated promotional credit.

(e) Subject to the eligibility requirements set out in this clause 3, this Promotion is open to all qualifying individuals without discrimination on grounds of race, religion, gender, sexual orientation, disability, or any other protected characteristic under Australia's anti-discrimination laws. Any participant who requires assistance to participate should contact support@tixel.com.

4. How to Participate

To participate in a Promotion, an eligible individual must satisfy the requirements stated in the applicable Campaign Schedule during the period commencing on the campaign opening date and ending on the campaign closing date specified in the applicable Campaign Schedule or on the relevant promotional landing page (the "Promotion Period"). Unless the applicable Campaign Schedule states otherwise, participation in a Coupon Campaign requires a valid Tixel account and a valid Claim made during the Promotion Period.

4.1 Claiming the Credit

During the Promotion Period, the participant must visit the relevant promotional landing page or follow the link in the relevant campaign communication, sign in to or create a valid Tixel account, accept these terms and conditions, and Claim the credit by clicking the designated claim link or by entering the applicable coupon code in their Tixel account. Eligibility is assessed at the time of Claim. If the participant satisfies the applicable eligibility requirements, the credit will be issued to their Tixel account immediately upon successful Claim; if the participant does not satisfy the eligibility requirements, they will be notified that they are not eligible and directed to these terms and conditions. Unless expressly stated otherwise in the applicable Campaign Schedule or on the relevant promotional landing page, only one (1) promotional credit may be issued per eligible person and per Tixel account in connection with the same Promotion.

4.2 Maximum Redemptions

Unless the applicable Campaign Schedule or the relevant promotional landing page expressly states otherwise, the maximum entitlement under any single Promotion is one (1) promotional credit per eligible person, per Tixel account, per payment method, per device, and per household. Tixel may disregard duplicate or linked participations and may withhold or reverse credit where it reasonably believes multiple claims have been made contrary to these terms.

4.3 Overlapping Eligibility Categories

Where two or more Promotions are directed at the same eligibility category (for example, two or more Coupon Campaigns each open only to customers who have not previously completed a purchase on the Platform), a participant may Claim promotional credit under only one of those Promotions, being the first credit validly Claimed, unless the relevant promotional landing page expressly states otherwise. Tixel may decline to issue, or may reverse in accordance with clause 7, any credit Claimed in contravention of this clause 4.3. This clause does not prevent a participant from Claiming credits under Promotions directed at different eligibility categories, or from earning referral credits under the Refer a Friend Promotion in addition to a Coupon Campaign credit.

5. Promotional Credit

The promotional credit available for each Promotion, together with its value, eligibility requirements, redemption criteria, and any Minimum Order Value or other conditions, are set out in the applicable Campaign Schedule, on the relevant promotional landing page, or in the relevant campaign communication.

5.1 Tixel Credits

Where a Promotion provides Tixel Credits:

(a) the credit will be issued as a digital promotional credit applied to the participant's Tixel account upon Tixel verifying, at the time of Claim, that the applicable eligibility and Campaign Schedule requirements have been satisfied. Issuance is subject to Tixel's right under clause 7 to reverse credit subsequently found to have been Claimed in error or in breach of these terms;

(b) once validly issued, the credit may be applied at checkout to any eligible transaction on the Platform, subject to any Minimum Order Value and expiry conditions applicable to that credit. Unless the applicable Campaign Schedule or the relevant promotional landing page states otherwise, the credit applies to the total amount payable at checkout, including ticket price, Tixel service fees, and payment processing fees, and Tixel expressly permits the application of credit to such fees. More than one promotional credit may be applied to a single eligible transaction ("stacking"), provided that the transaction satisfies the Minimum Order Value applicable to each credit applied and each credit remains valid and unexpired at the time of the transaction. Credits may not be combined with promotional codes, vouchers, or offers other than Tixel Credits where Tixel states that such combination is not permitted, and cannot be applied retroactively to completed transactions;

(c) where a Minimum Order Value is specified for a credit, that credit may only be applied to eligible transactions with a total value equal to or exceeding that Minimum Order Value. Unless stated otherwise on the relevant promotional landing page, the Minimum Order Value is calculated on the total transaction value, including ticket price, Tixel service fees, and payment processing fees, and is assessed before any promotional credit is deducted. If no Minimum Order Value is specified for a Promotion, no minimum transaction value applies to that Promotion; and

(d) the credit expires on the expiry date stated in the applicable Campaign Schedule, on the relevant promotional landing page, or in the participant's Tixel account or, if no date is stated, 90 days after the date of Claim (being the date of issue). Any unused balance will be automatically forfeited on expiry and cannot be reinstated, except as expressly provided in clause 7(b) in respect of a refund or reversal of an eligible transaction.

6. Credit Issuance and Notification

(a) The Promotion Period, Claim deadline, verification timing, and credit issuance timing for each Promotion are set out in the applicable Campaign Schedule or on the relevant promotional landing page. For Coupon Campaigns, credit is issued immediately upon successful Claim, subject to verification at the time of Claim.

(b) Tixel may verify account activity, transaction data, payment details, device information, and other information reasonably required to administer the Promotion and prevent abuse. Tixel will retain records of Claims, qualifying transactions, issued credits, reversals, and related administration for a reasonable period in accordance with clause 10 and applicable law.

(c) Eligible participants will receive on-screen confirmation at the time of a successful Claim and may also be notified by email, in-account message, or another reasonable method once promotional credit has been issued or if Tixel requires further information to verify eligibility. Tixel is not responsible if a participant does not receive a notification because account, email, or contact details are inaccurate, unavailable, or out of date.

(d) Tixel is not required to publish the identity of any participant who receives promotional credit under this Promotion.

(e) This Promotion is not a free prize draw, competition, or lottery. It will be administered in accordance with applicable consumer protection, advertising, and data protection laws.

7. Non-Issuance, Reversal, and Forfeiture

(a) If a participant fails to complete the required steps for a Promotion, fails to provide requested verification information within the timeframe specified by Tixel, or does not satisfy the applicable Campaign Schedule requirements or the eligibility criteria assessed at the time of Claim, Tixel may decline to issue the credit or may cancel any pending entitlement to it.

(b) If credit has been issued in error, obtained through a breach of these terms, or not used before expiry, Tixel may reverse, cancel, or reclaim the credit, including by deducting it from the participant's Tixel account or reversing any associated discount or value credited to the participant, to the extent permitted by law. Where a transaction to which promotional credit was applied is refunded or reversed in whole or in part (other than as a result of fraud, abuse, or a breach of these terms), the promotional credit portion of that refund will be reinstated to the participant's Tixel account as a new promotional credit with the same expiry date as the original credit; where the original credit has already expired at the time of reinstatement, the reinstated credit will be given a new validity period of 30 days from the date of reinstatement. In the case of a chargeback on a transaction where promotional credit was applied, Tixel reserves the right to deduct the credit value from any promotional credits then held in the participant's Tixel account, and where full recovery through account adjustment is not possible, to recover the equivalent amount through formal debt recovery proceedings, to the extent permitted by law. Tixel reserves the right to withhold credit reinstatement where it reasonably suspects fraud, abuse, or a breach of these terms. This does not limit any different treatment expressly stated in an applicable Campaign Schedule for event cancellation, customer service credits, refund-related credits, or replacement credits.

8. Credit Conditions

(a) Promotional credit is personal to the eligible participant, non-transferable, non-exchangeable, and not redeemable for cash, except as required by law. Tixel may substitute, amend, suspend, or withdraw a Promotion or the form of promotional credit where reasonably necessary for operational, legal, or fraud-prevention reasons, provided that Tixel will not do so in a way that is misleading or unfairly prejudicial to participants who have already satisfied all applicable Campaign Schedule requirements or validly Claimed a credit, or that excludes or restricts any rights a participant may have under mandatory law. Where reasonably practicable and consistent with the reason for the change, Tixel will provide reasonable advance notice of any such substitution, amendment, or suspension via the relevant Tixel page or another appropriate Tixel channel before it takes effect, except where immediate action is required to prevent fraud or abuse, or to comply with a legal or regulatory obligation.

(b) Participants are responsible for any personal tax obligations that may arise in connection with the receipt or use of promotional credit. Tixel does not provide tax advice and recommends that participants seek independent advice if they are uncertain of their tax position.

(c) Tixel reserves the right to verify the identity, age, eligibility, and qualifying transaction details of any participant before issuing or honouring promotional credit. Failure to provide satisfactory verification within a reasonable time may result in the credit being withheld, cancelled, or reversed.

9. Fair Play and Disqualification

(a) One natural person may hold only one Tixel account unless Tixel expressly permits otherwise. Multiple accounts, automated claims, bulk participation, third-party claim services, fraudulent transactions, abuse of refunds, chargebacks, self-dealing, and any attempt to circumvent account, device, payment method, household, or eligibility-category limits are prohibited.

(b) Tixel reserves the right to void any participation, withhold or reverse any promotional credit, suspend or disqualify any participant, and recover any value granted under the Promotion from any person who has, in Tixel's reasonable opinion:

(i) provided false or inaccurate information;

(ii) used automated means to participate, Claim, or generate eligibility under the Promotion;

(iii) created more than one Tixel account;

(iv) tampered with the Promotion, verification, Claim, issuance, or redemption process;

(v) otherwise acted in breach of these terms and conditions.

(c) Tixel's decision in relation to all aspects of the Promotion, including eligibility, issuance, reversal, and disqualification, is final and binding, except where mandatory law provides otherwise. Participants who wish to challenge a decision may raise a complaint in accordance with clause 14. No further correspondence outside the complaints process will be entered into.

(d) Where promotional credit or related value is recovered from a disqualified participant, Tixel may cancel the credit, reverse any related benefit, and, where full recovery through account adjustment is not possible, seek reimbursement from the participant for the value improperly received, to the extent permitted by law.

10. Privacy and Data Protection

(a) Personal information collected from participants will be processed for the following purposes: (i) to administer the Promotion; (ii) to verify eligibility, Claims, qualifying purchases, and redemptions; (iii) to issue, apply, manage, and, where necessary, reverse promotional credit; (iv) to communicate with participants about the Promotion; (v) to prevent fraud, abuse, and misuse; (vi) to comply with legal and regulatory obligations; and (vii) to maintain records of the Promotion. Personal information will be retained in accordance with our Privacy Policy available at https://tixel.com/privacy and the Privacy Act 1988 (Cth).

(b) Personal information collected in connection with the Promotion will be retained only for as long as is necessary for the purposes for which it was collected. Personal information relating to participants who do not receive promotional credit will be deleted or anonymised within a reasonable period after the end of the relevant Promotion unless longer retention is required for fraud prevention, dispute handling, or legal compliance. Personal information relating to participants who receive promotional credit may be retained for up to 12 months following the end of the relevant Promotion, or longer where reasonably required for audit, fraud prevention, accounting, tax, chargeback, or legal purposes, after which it will be securely deleted or anonymised.

(c) Tixel will maintain accurate records of Promotion participation, Claims, qualifying transactions, issued credits, reversals, and related administration for such period as may reasonably be required for operational, audit, compliance, and legal purposes. These records may be made available to relevant regulatory authorities where required by law.

11. Liability

(a) Nothing in these terms limits any liability that cannot lawfully be limited or excluded. Subject to that, and to the maximum extent permitted by applicable law, the total liability of each party in respect of loss or damage sustained by the other party in connection with the Promotion is limited to the value of the promotional credit to which the relevant participant was properly entitled under the applicable Campaign Schedule.

(b) To the maximum extent permitted by law, neither party will be liable for any incidental, special or consequential loss or damages, or damages for loss of data, business or business opportunity, goodwill, anticipated savings, profits or revenue in connection with the Promotion, except:

(i) in relation to a party's liability for fraud, personal injury, death or loss or damage to tangible property; or

(ii) to the extent this liability cannot be excluded under the Competition and Consumer Act 2010 (Cth) (ACL).

(c) To the fullest extent permitted by applicable law, Tixel excludes all liability for any loss, damage, or injury arising out of or in connection with the Promotion, any failure to Claim, obtain, or redeem promotional credit, or any cancellation, suspension, or amendment of the Promotion, except:

(i) for death or personal injury caused by Tixel's negligence;

(ii) for fraud or fraudulent misrepresentation; or

(iii) as otherwise required by mandatory applicable law.

(d) Tixel is not responsible for technical failures, network outages, system errors, payment failures, checkout errors, account access issues, or any event beyond its reasonable control that prevents or delays participation in the Promotion or the Claim, issuance, or redemption of promotional credit.

12. Changes and Cancellation

If circumstances beyond Tixel's reasonable control, or operational, legal, regulatory, security, or fraud-prevention considerations, make it necessary to modify, suspend, or cancel any Promotion or the campaign as a whole, Tixel reserves the right to do so. Any such modification or cancellation will be notified via the relevant Tixel page for that Promotion or another appropriate Tixel channel as soon as reasonably practicable. Such modifications or cancellations will not affect promotional credits that have already been validly Claimed and issued prior to the modification or cancellation, which will remain redeemable until their expiry date subject to these terms. Tixel will not make any changes that unfairly disadvantage participants who have already satisfied all material conditions of the applicable Promotion or validly Claimed a credit, except where such change is required to comply with law or to prevent fraud or abuse.

13. Force Majeure

Tixel shall not be in breach of these terms and conditions, nor liable for any failure or delay in performing its obligations, where such failure or delay arises from any cause or circumstance beyond Tixel's reasonable control, including without limitation acts of God, pandemic or epidemic, government action or legislation, civil unrest, fire, flood or other natural disaster, failure of telecommunications or utility infrastructure, payment network disruption, cyber incident, or the act or default of any third-party service provider. Tixel will notify participants of any such event via the relevant Tixel page for that Promotion or another appropriate Tixel channel and will use reasonable endeavours to resume the affected Promotion when practicable. No compensation will be payable arising solely from any such event, save that nothing in this clause limits or excludes any statutory right a participant may have under the Competition and Consumer Act 2010 (Cth) (ACL) or other mandatory applicable law, including any right to a refund in respect of a service that has not been delivered.

14. Complaints

Any participant who wishes to raise a complaint in connection with this Promotion should contact Tixel by email at support@tixel.com, setting out full details of their complaint. Tixel will acknowledge complaints within 5 working days of receipt and will endeavour to resolve them within 28 days.

15. General Conditions

(a) Tixel is not responsible for late, lost, incomplete, misdirected, or invalid participations or Claims, or for any technical malfunction, telecommunications failure, payment processing issue, or other error that may affect a person's ability to participate in the Promotion or to Claim or redeem promotional credit. Proof of submission is not proof of receipt or eligibility.

(b) These Master Terms, together with the applicable Campaign Schedule, the relevant promotional landing page or campaign communication, Tixel's general platform terms, any applicable purchase terms, and any applicable event or seller conditions, govern the relevant Promotion and any purchase or refund involving promotional credit. If there is any inconsistency, these Master Terms and the applicable Campaign Schedule prevail to the extent of the inconsistency in relation to the Promotion, and otherwise the other applicable Tixel terms continue to apply.

(c) If any provision of these terms and conditions is found to be invalid or unenforceable, it shall be severed without affecting the validity and enforceability of the remaining provisions.

(d) This Promotion and these terms and conditions shall be governed by and construed in accordance with the laws of Victoria, Australia. Each party irrevocably submits to the exclusive jurisdiction of the courts of Victoria, Australia and courts of appeal from them in respect of any proceedings arising out of or in connection with this Promotion. Each party irrevocably waives any objection to the venue of any legal process on the basis that the process has been brought in an inconvenient forum.

PART B — CAMPAIGN SCHEDULES

Part B contains the Campaign Schedules. Schedules 1 to 7 together form the "Coupon Campaign Schedule" and apply to all Coupon Campaigns — promotional credit offers Claimed via a claim link or coupon code, including sign-up bonus campaigns open to eligible non-transacting users, targeted campaigns offered to a defined list of users selected by Tixel, and customer service, refund-related, or replacement credits. The campaign-specific variables for each Coupon Campaign (including eligibility criteria, credit value, Minimum Order Value, Claim deadline, and expiry period) are stated on the relevant promotional landing page or in the relevant campaign communication, which forms part of the Campaign Schedule for that Promotion. Schedule 8 applies to the Refer a Friend Promotion. Each Promotion is governed by the Master Terms in Part A together with the Campaign Schedule applicable to it. Where a Campaign Schedule or the relevant promotional landing page expressly provides for a matter, that provision prevails over any inconsistent provision in the Master Terms or in another Campaign Schedule to the extent of the inconsistency.

Schedule 2 — Participation and Claim Details

Once validly Claimed and issued, the credit may be redeemed against any eligible transaction on the Platform within its validity period, subject to any applicable Minimum Order Value; the credit is not forfeited if the participant completes a transaction without applying it. The credit applies to the total amount payable at checkout, including ticket price, Tixel service fees, and payment processing fees, in accordance with clause 5.1(b).

Schedule 5 — Refunds, Reversals, and Cancellation

However, where a transaction involving promotional credit is cancelled because the relevant event is cancelled, any cash amount paid out of pocket by the participant will be refunded in accordance with Tixel's applicable terms and legal obligations, and any promotional credit used for that transaction may be forfeited and replaced by Tixel issuing a new promotional credit of the same value to the participant's account, whether manually or by another method determined by Tixel.
Cancellation RightTixel may suspend, cancel, or withdraw the Promotion at any time in accordance with clause 12. Credits validly Claimed before any such suspension, cancellation, or withdrawal remain redeemable until their expiry date.
Fraud ResponseTixel may withhold, cancel, reverse, or recover promotional credit where it reasonably suspects fraud, abuse, manipulation, multiple-accounting, payment irregularity, circumvention of eligibility-category limits, or other breach of these terms.
Non-Issuance or Reversal NoticeTixel may notify the affected participant by email, in-account message, or other reasonable method.
Further RemedyNo replacement credit, redraw, or alternative benefit is required where credit is not issued or is reversed in accordance with these terms, except where an applicable Campaign Schedule, Tixel customer support resolution, or mandatory law provides otherwise.
Customer Service Credit TreatmentTixel may, from time to time, issue promotional credit, goodwill credit, refund-related credit, or replacement credit as part of a customer support, service recovery, or refund resolution. Unless otherwise stated in the applicable Campaign Schedule or in the communication issuing that credit, such credit remains promotional in nature, is subject to these Master Terms, and may have separate issue, redemption, expiry, reversal, or replacement conditions notified at the time of issue.

Schedule 6 — Additional Campaign Conditions

Excluded TransactionsTransactions that are cancelled, refunded, reversed, charged back, fraudulent, unlawful, or otherwise non-compliant with Tixel's terms do not qualify as eligible transactions for redemption. Tixel may also exclude transactions for categories, events, sellers, or products identified on the relevant promotional landing page.
Application OrderWhere more than one credit is held or applied, promotional credit will be applied in the order and manner determined by Tixel at checkout.
StackingPermitted in accordance with clause 5.1(b) of the Master Terms. More than one promotional credit may be applied to a single eligible transaction, provided the transaction satisfies the Minimum Order Value applicable to each credit applied and each credit is valid and unexpired at the time of the transaction.
Non-TransferabilityPromotional credit is personal to the recipient account and may not be sold, gifted, assigned, or transferred.
Maximum EntitlementOne (1) promotional credit per eligible person and per Tixel account per Promotion, unless stated otherwise on the relevant promotional landing page. Clause 4.3 of the Master Terms (Overlapping Eligibility Categories) applies where two or more Promotions are directed at the same eligibility category.
Expiry ReminderTixel may, but is not obliged to, send a reminder before promotional credit expires.
Fraud ScreeningTixel may use automated and manual review processes to detect duplicate accounts, payment anomalies, device-linking, refund abuse, circumvention of eligibility-category limits, or other suspicious activity.
Interaction with Other TermsUse of Tixel, all purchases made using promotional credit, and any refunds or cancellations remain subject to Tixel's general platform terms, purchase terms, and applicable event or seller conditions. If there is any inconsistency between those terms and these Promotion terms, these Promotion terms prevail to the extent of the inconsistency in relation to the Claim, issuance, use, reversal, replacement, or expiry of promotional credit, and the other terms continue to apply in all other respects.

Schedule 7 — Campaign-Specific Notes

Coupon Campaigns are promotional credit offers that must be Claimed during the Promotion Period and may be redeemed against eligible transactions within the applicable validity period. Eligibility is assessed once, at the time of Claim; once a credit has been validly Claimed and issued, it is not forfeited merely because the participant completes another transaction without applying it. Each Coupon Campaign may have different eligibility criteria, credit values, Minimum Order Values, Claim deadlines, and expiry periods, in each case as stated on the relevant promotional landing page or in the relevant campaign communication. Other Promotions may provide referral credits, customer service credits, refund-related credits, or replacement credits on the terms stated in the applicable Campaign Schedule. Promotional credit is not cash, has no cash value except as required by law, and expires if not used within the applicable validity period. If there is any inconsistency between promotional materials and these terms, these terms prevail unless mandatory law requires otherwise.

Schedule 8 — Refer a Friend Campaign

This Schedule forms part of the Tixel Credits terms and conditions and must be read together with the Master Terms in Part A and the general provisions of Part B. It sets out the specific details of the Refer a Friend Promotion.

Campaign OverviewExisting Tixel account holders ("Referrers") may invite new users to join Tixel using a unique referral link or code made available through their Tixel account or the Tixel app. When a referred individual ("Referred Participant") creates a new Tixel account using the Referrer's unique referral link or code during the Promotion Period, the Referred Participant will receive a promotional credit on account creation. When that Referred Participant subsequently completes their first purchase, the Referrer will also receive a promotional credit, in each case on the terms set out below.
EligibilityReferrer eligibility: the Referrer must hold a valid Tixel account in good standing at the time the referral is made and at the time the Referrer's credit is issued, and must be resident in Australia. No prior qualifying purchase by the Referrer is required; account registration and good standing are sufficient to satisfy Referrer eligibility. Referred Participant eligibility: the Referred Participant must be a new user who has not previously held a Tixel account; must create their account during the Promotion Period using the Referrer's unique referral link or code; and must be resident in Australia.
Credit DetailsReferrer Credit Value: AUD $10, or as stated on the relevant promotional landing page or in the Tixel app at the time the Referred Participant creates their account. Referred Participant Credit Value: AUD $10, or as stated on the relevant promotional landing page or in the Tixel app at the time the Referred Participant creates their account. How it WorksThe Referrer shares their unique referral link or code with a prospective new user. The prospective new user creates a new Tixel account during the Promotion Period using that referral link or code, thereby becoming the Referred Participant. The Referred Participant's credit will be issued to their account immediately upon account creation, subject to Tixel verifying that all applicable eligibility checks are satisfied. The Referrer's credit will be issued on the date the Referred Participant completes their first purchase on the Platform, subject to Tixel verifying that the transaction is genuine and arm's length. No minimum transaction value applies to that purchase. If that transaction is subsequently refunded, reversed, or subject to a chargeback, Tixel may cancel the Referrer's credit or recover its value in accordance with clause 7 and Schedule 5.
Additional ConditionsReferral links and codes are for personal, non-commercial use only. Mass distribution via social media advertising, paid channels, spam, or automated systems is prohibited and constitutes abuse under clause 9 of the Master Terms. Self-referrals (a Referrer referring themselves using a different or secondary account) are prohibited and constitute fraud under clause 9 of the Master Terms. Where a Referral Cap is specified above or on the relevant promotional landing page, once that cap is reached no further referral credits will be issued to the Referrer under this Promotion, though any referral credits already validly issued to the Referrer will remain redeemable until their expiry date. Credits issued under this Schedule are subject to the non-transferability conditions set out in clauses 5.1 and 8 of the Master Terms, and to the expiry periods set out in the Credit Details row above.
